Industry News: AUSTRALIA: BAT to Bid for Australian Units After Buying Rothmans (Update1)

"Ultimately, the combined group will have to make a bid," said Ralph Edmondson, head of investor relations at BAT. "It's not entirely unexpected, but neither is it the best solution. We've been quite comfortable having businesses around the world with minority shareholders."

The Australian Securities and Investments Commission wrote in two letters to BAT that the enlarged company must bid for the 50 percent of Rothmans Holdings Ltd. and the 33 percent of W.D. & H.O. Wills Holdings Ltd. not already owned by BAT and Rothmans cigarettes International to comply with Australian regulations.

Industry News: ROTHMANS faces strict frisking

The finance ministry has decided to set stiff conditions for a clearance to Rothmans' plans for a 100 per cent subsidiary in India. It has said the company will have to commit to a 75 per cent export level which will be at par with export-oriented units.

Besides, Rothmans cigarettes will not be allowed to acquire or enter into joint ventures with existing licence-holders. It will be permitted to set up only a greenfield venture and will have to acquire a licence on its own.Sources said, the finance ministry's suggestions have been sent to the Foreign Investment Promotion Board (FIPB), which will take up the issue soon. The industry ministry, which has favoured the Rothmans' application, is a bit alarmed over the level of exports the international cigarette major has been asked to commit to.
